Acceptable Use Policy

This Acceptable Use Policy ("AUP") sets out the things you must not do when using the Clarence Legal platform at clarencelegal.ai (the "Platform"). It forms part of, and is incorporated into, the Terms & Conditions. Breaching this AUP is a breach of the Terms & Conditions and may lead to suspension or termination of your Account.

Clarence Legal Limited is the operator of the Platform. Where the AUP refers to "we" or "us", it means Clarence.


1. The headline

You may use the Platform only for lawful, professional and reasonable purposes consistent with these Terms. You must not use it to:

(a) break the law; (b) harm Clarence, other users, or third parties; (c) misuse or strain our systems; or (d) extract or replicate our intellectual property.

The sections below set out the specific prohibitions. The list is non‑exhaustive — anything plainly outside the spirit of (a)–(d) is also prohibited, even if not enumerated.


2. Unlawful use

You must not use the Platform:

  • to plan, draft or facilitate any contract or arrangement that is unlawful under English law or the law applicable to you;
  • to launder the proceeds of crime, to finance terrorism, or in connection with bribery or corruption;
  • to evade economic sanctions (UK, US OFAC, EU, UN) or export controls;
  • to defraud anyone (including by drafting contracts intended to deceive a counterparty about a material fact); or
  • to infringe a third party's rights — including intellectual property, privacy, confidentiality, image and publicity rights.

We may report suspected unlawful use to the appropriate authorities and will cooperate with lawful requests for information.


3. Security and abuse

You must not:

  • attempt to gain unauthorised access to the Platform, to other Accounts, to other tenants' workspaces, or to any underlying infrastructure;
  • probe, scan or test the vulnerability of the Platform without our prior written permission (responsible disclosure to security@clarencelegal.ai is welcome);
  • exploit, or attempt to exploit, a security vulnerability for any purpose other than responsible disclosure;
  • introduce malware, worms, viruses, ransomware, logic bombs or other malicious code;
  • interfere with, or disrupt, the integrity or performance of the Platform (including by denial‑of‑service or by deliberately abusive API patterns);
  • impersonate another person or misrepresent your affiliation with any person or organisation;
  • harvest personal data of other users (whether by scraping, OSINT pivots, or social engineering); or
  • use the Platform in any manner that breaches multi‑tenant data isolation or attempts to view, infer or extract data belonging to another tenant.

4. Respect for the Platform's intellectual property

You must not:

  • reverse‑engineer, decompile, disassemble or otherwise attempt to derive source code or underlying ideas of the Platform, except as expressly permitted by law (and then only after giving us 30 days' notice and a reasonable opportunity to provide the information you need);
  • attempt to extract our system prompts, evaluation harnesses, scoring rubrics, playbook guardrails, mediation library prompts or training data — for example, by adversarial prompting, prompt injection, jailbreak attempts, or token‑level probing;
  • copy, mirror or scrape the Platform's pages, UI, content or AI Outputs in bulk;
  • use the Platform's outputs to train, fine‑tune or evaluate a competing AI or legal‑tech product;
  • circumvent any Plan limits, paywalls, credit metering or feature gates; or
  • remove, obscure or alter any proprietary notices, trade marks or watermarks.

The above is in addition to, not a replacement for, the IP provisions in Section 9 of the Terms & Conditions.


5. AI and Content

The Platform uses AI to help you negotiate and draft contracts. You must not use it to:

  • generate content that is illegal, defamatory, harassing, threatening, obscene, hateful or that infringes a third‑party right;
  • generate content depicting sexual material involving minors (this is forbidden absolutely and we will report it to the National Crime Agency and the relevant authorities);
  • generate "synthetic identity" documents intended to deceive a regulated check (KYC, AML, immigration, employment);
  • spam, send unsolicited bulk communications, or use Clarence email‑drafting features to send messages that breach PECR or equivalent laws;
  • pass off AI Output as legal advice to a third party where the third party is not aware they are receiving AI‑generated content; or
  • upload personal data of third parties that you do not have a lawful basis to process.

You are responsible for the content you put into the Platform. We have automated and (where necessary) human review processes that may flag content. We may, at our reasonable discretion, remove or quarantine content that we reasonably believe breaches this AUP, the Terms & Conditions or applicable law.


6. Commercial conduct

You must not:

  • use the Platform to coordinate anti‑competitive conduct (price‑fixing, market‑sharing, bid‑rigging) between counterparties;
  • knowingly engage in negotiations on the Platform with a person whose participation has not been authorised by their organisation;
  • use the Platform's RFP / tendering capability to invite or submit bids you do not intend, in good faith, to perform;
  • use the Platform's Training Studio in a way that breaches Section 4 (e.g., for the purpose of extracting our scoring rubrics or persona prompts); or
  • resell, sub‑license or commercially redistribute access to the Platform without our prior written consent.

7. Fair use of Credits and resources

The Platform meters AI Operations in Credits. You must not:

  • use automated scripts to consume Credits in patterns inconsistent with bona fide human use;
  • artificially inflate Credit consumption to test billing pathways without our consent (responsible testing on the free_trial Plan is fine; abuse is not);
  • share a single User Account across multiple individuals to evade per‑seat pricing on Plans that are licensed per User; or
  • create multiple Accounts to evade limits, suspensions, or terminations applied to a previous Account.

Where reasonable usage limits or rate limits are in force, you must respect them.


8. Account and identity

You must:

  • provide accurate signup details and keep them current;
  • maintain the confidentiality of your credentials;
  • not share your password with anyone (your colleagues each have an Account for a reason);
  • not use a name or company that you are not entitled to represent; and
  • if you sign up on behalf of a company, ensure you have authority to bind that company to the Terms & Conditions.

9. Beta features

If you are using a feature labelled "Beta" (whether under the beta Plan or as a Beta feature on another Plan), the additional terms in Section 14 of the Terms & Conditions apply. In particular, you must treat un‑released Beta features as Confidential Information.


10. Reporting violations

If you see something that breaches this AUP, please tell us. Email abuse@clarencelegal.ai with as much detail as you can share (link, screenshot, time). For security vulnerabilities, please report to security@clarencelegal.ai under our responsible disclosure expectations.

We will acknowledge serious reports within two working days and act proportionately.


11. What we'll do if you breach this AUP

Depending on the seriousness, we may:

  • warn you and ask you to stop;
  • remove or quarantine offending content;
  • limit or disable specific features for your Account;
  • suspend your Account temporarily;
  • terminate your Account; or
  • report to law enforcement, a regulator, or the affected third party where required or appropriate.

We try to act proportionately. Repeat or material breaches will move quickly up the scale. For serious matters (security attacks, child‑safety content, sanctions evasion) we will act immediately and without prior notice.


12. Changes to this AUP

We may update this AUP from time to time. We will update the version number and "Last updated" date, post the new version at /legal/acceptable-use, and where the change is material we will give reasonable notice via email or in‑product.
